On October 4, 2011, CDC Corporation (the “Debtor”) filed a voluntary petition for relief under chapter 11 of title 11 of the United States Code in the United States Bankruptcy Court for the Northern District of Georgia, Atlanta Division (the “Bankruptcy Court”), commencing Case No. 11-79079.

On September 6, 2012, the Bankruptcy Court entered an order (the “Confirmation Order”) confirming the “Second Amended Joint Plan of Reorganization for CDC Corporation” (the “Plan”) filed by the Debtor and the Official Committee of Equity Security Holders of CDC Corporation.

On September 11, 2012, and in connection with the Plan, the Bankruptcy Court entered an Order (the “Bar Date Order”) establishing a bar date of November 6, 2012, for the filing of proofs of interest, exclusive of Common Shares (as defined in the Plan), against the Debtor, and for the filing of proofs of claim by Compensated Entities (as defined in the Bar Date Order) against the Debtor arising out of employment agreements, indemnity agreements, incentive plans or other agreements, plans, customs or practices of the Debtor and/or any direct or indirect subsidiary of the Debtor. The Bar Date Order also approved a form for the filing of such interests and/or claims (the “Proof of Certain Interests/Claims Form”), and provided that proof of such interests and/or claims must be filed with the Clerk of the Court at the following address so actually received at or before 4:00 p.m. on November 6, 2012: Clerk of the Court, United States Bankruptcy Court, 75 Spring Street, S.W., Ste. 1340, Atlanta, GA 30303. Proofs of interest and/or claim filed electronically may be filed up to 11:59:59 p.m. on November 6, 2012.

The Notice dated September 11, 2012 (the “Notice of Confirmation”), also sets forth November 6, 2012, as the bar date for the filing of certain claims pursuant to the terms of the Plan and as the bar date under the Bar Date Order.
